1问题提出的背景在国家房地产宏观调控政策影响下,在土地和资金双重瓶颈约束下,房地产大企业实力显著增强,而中小型房地产企业需要谋求突破。这个突破是伴随着定向增发、配股以及企业可转债等多种融资渠道进行的。其中企业并购,资产重组,实现资产整体上市成为一种理论上可以借鉴的途径。
PROBLEMS PROPOSED BY THE PROBLEM Under the influence of the state macro-control policies on real estate, under the dual bottleneck of land and capital, real estate enterprises have significantly strengthened their capabilities while small and medium-sized real estate enterprises need to seek breakthroughs. This breakthrough is accompanied by private placement, placement and corporate convertible bonds and other financing channels. Among them, mergers and acquisitions, reorganization of assets and realization of the overall listing of assets become a theoretical approach that can be used for reference.
