在电信企业并购的反垄断审查中,电信业的动态发展、网络效应等特点对于反垄断法一般规则的适用产生了影响。本文在总结欧美电信企业并购理论和实践的基础上,对电信业相关市场的认定、电信并购对竞争的影响、并购的效率、并购的救济措施等问题进行了深入分析。另外,鉴于电信业的公益性质,本文总结了美国联邦通讯委员会在电信企业并购审查中公共利益标准的含义,对我国《反垄断法》中企业并购审查中公共利益标准的应用提出了建议。
In the antitrust review of mergers and acquisitions by telecommunications companies, the dynamic development of the telecommunications industry and network effects have exerted an influence on the application of the general rules of antitrust law. On the basis of summarizing the theory and practice of mergers and acquisitions in European and American telecom companies, this article analyzes the related issues of telecom market, the influence of telecom mergers and acquisitions on competition, the efficiency of mergers and acquisitions and the remedies of mergers and acquisitions. In addition, given the charitable nature of the telecommunications industry, this paper summarizes the meaning of the public interest standard of the Federal Communications Commission in the review of mergers and acquisitions of telecommunications companies and puts forward suggestions on the application of public interest standards in the review of mergers and acquisitions in China’s Anti-monopoly Law.
