合同违约金相对于其他合同条款受到的特殊对待一直是传统法律分析中的一个悖论。通过法解释学分析可以发现违约金条款的补偿性是传统分析的立论基础。但根据国外主流法律经济学和行为主义法律经济学理论,结合大陆法系和英美法系的立法和司法实践,可证明传统分析存有谬误,本文结论是不应对违约金条款进行太多干预。
The special treatment of contract liquidated damages in comparison with other contractual provisions has always been a paradox in traditional legal analysis. Through the legal hermeneutical analysis, it can be found that the compensatory nature of the liquidated damages clause is the basis of the traditional analysis. However, according to the legal economics theory of mainstream foreign law and behaviorism and the legislation and judicial practice of the civil law system and common law system, we can prove the fallacy of the traditional analysis. The conclusion of this paper is that we should not interfere too much with the terms of the penalty.
