公司资本制度是公司法律制度的重要组成部分之一。公司资本不但是公司自身谋求生存和发展的物质基础,而且是公司对外承担责任的惟一担保。因此,大陆法系国家的公司法都非常重视对公司资本制度的规定。我国公司法也不例外。在企业的国际竞争日益激烈的今天,我国公司资本制度所存在的问题日渐暴露。因此,本文拟就日本公司资本制度问题进行探讨,以期为进一步完善我国公司资本制度提供一些有益的借鉴。
The company’s capital system is one of the important components of the company’s legal system. Corporate capital is not only the material basis for the company’s own survival and development, but also the sole guarantee for the company to assume its responsibility abroad. Therefore, the corporate law of civil law countries in the continent places great emphasis on the provisions of the company’s capital system. Our company law is no exception. With the increasingly fierce international competition of enterprises, the problems existing in the corporate capital system of our country are increasingly exposed. Therefore, this article intends to discuss the issue of the Japanese company’s capital system in order to provide some useful references for further improving the corporate capital system in China.
