本文分析了独立董事的特征,总结出独立董事的监管特征主要影响着独立董事的约束机制,其中介特征则主要影响着独立董事的激励机制。本文认为独立董事制度应当基于这样的理念来进行设计和研究。
This paper analyzes the characteristics of independent directors, concludes that the regulatory features of independent directors mainly affect the binding mechanism of independent directors, and their intermediary characteristics mainly affect the incentive mechanism of independent directors. This paper argues that the system of independent directors should be based on such ideas to design and research.
