产权界定和产权转移是实行股份制的前提,完善的市场机制和市场体系是股份制行以运行的重要条件。当前在这方面存在着三个主要难题,需在充分开展讨论的基础上,认真研究解决: (1)国有企业产权界定和转移。股份制是财产或资本的组合。它要求股份分散化,股东多元化,实行财产的极终所有权与企业的法人所有权相分离的组织制度。国有企业掌握着巨额的资产而又产权界定不清,并且,如果每个股份企业内国有资产形成的国家股所占比重都很大,代表国有资产所有权、行政管理权和宏观调控权的国家股东对股份制企业实行干预就会成为不可避免,任何其他股份都不足以影
