进入20世纪80年代以来 ,跨国并购已经取代跨国创建成为国际上对外直接投资的主要方式。我国吸收利用外商直接投资在经历了90年代初的高速增长之后 ,近几年增长速度有所减慢。为提高利用外商直接投资的水平,我们应适应国际上对外直接投资方式转变的潮流 ,积极采取措施 ,鼓励外商以并购方式对我国进行直接投资。本文对我国目前以并购方式利用外商直接投资的基本状况、利弊之处进行了调查分析 ,最后就如何克服目前存在的观念性、体制性障碍 ,创造条件 ,促进外资在中国的并购投资活动提出了几点建议。
Since the 1980s, cross-border mergers and acquisitions have taken the place of cross-border creation as the main means of foreign direct investment abroad. After China’s foreign direct investment (FDI) absorption experienced rapid growth in the early 1990s, the growth rate has slowed in recent years. In order to improve the level of utilizing foreign direct investment, we should adapt to the trend of international direct investment transformation and take active measures to encourage foreign investors to invest directly in our country through mergers and acquisitions. This article has carried on the investigation and analysis to our country present situation, the pros and cons of using the foreign direct investment by way of the merger and acquisition. At last, on how to overcome the current existing concept and institutional obstacle, create the condition and promote the foreign capital’s M & A investment activities in China A few suggestions.
