新修改的公司法将我国注册资本实缴登记制修改为认缴登记制,同时取消了最低注册资本限额的规定,这一举措使公司设立的门槛得以降低。公司股东可以自主约定认缴出资额、出资方式、出资期限等事项。这一改革,激发了创业的热情,使市场活力得到有效发挥。本文主要论述了新公司法关于注册资本制度改革的基本内容和现实意义,并针对可能出现问题提出可行性建议。
The newly revised company law revised the registration system of paid-in capital in our country to the subscription registration system and canceled the minimum registered capital limit. This measure reduced the threshold for the establishment of the company. The shareholders of the Company can independently subscribe for the capital contribution, the mode of investment, the term of investment, and other matters. This reform has stimulated the enthusiasm of entrepreneurs and brought the vitality of the market into full play. This paper mainly discusses the basic content and practical significance of the new company law on the reform of registered capital system, and puts forward feasible suggestions on the possible problems.
