就我国目前公募基金法律监管的现状而言,公募基金法律监管完善措施应包括公募基金内部监管机制和公募基金法律监管体系两方面的内容。内部监管机制的完善可从加强持有人对基金公司的监管、完善独立董事制度、改变由管理人选任托管人的方式三方面进行,法律监管体系方面应加强基金管理人的注意义务和民事责任。
As far as the status quo of legal supervision of public offering fund in our country is concerned, the legal supervisory measures of public offering fund should include the internal supervision mechanism of public offering fund and the legal supervision system of public offering fund. The improvement of the internal supervision mechanism can be carried out in three aspects: strengthening the supervision over fund companies by the holder, perfecting the system of independent directors, and changing the way of selecting the trustees by the manager. The system of legal supervision should strengthen the attention and civil liability of the fund managers .
