修订后的《中华人民共和国公司法》对于公司为股东担保问题作了特别规范,对过去相关的担保规则作了明显调整。2005年11月14日证监会和银监会联合发布《关于规范上市公司对外担保行为的通知》,该文件于2006年1月1日起与新修订的《公司法》同步施行。该文件对证监会以前发布的一系列涉及上市公司担保的规定作了部分修改,体现了修改后的《公司法》确立的原则。
The revised “Company Law of the People’s Republic of China” has made special regulations on the guarantee of the Company for the shareholders and has made obvious adjustments to the relevant guarantee rules in the past. On November 14, 2005, the CSRC and China Banking Regulatory Commission (CBRC) jointly issued the Notice on Regulating the External Guarantees of Listed Companies, which came into effect on January 1, 2006 with the newly revised Company Law. This document partially changes the provisions previously promulgated by the CSRC on guarantee of listed companies and reflects the principle established in the amended Company Law.
