独立董事制度是确保公司董事会的独立性、维护公司所有股东共同利益的一项制约机制。我国引入独立董事制度,主要是为了改变董事会的效率和运作状况,进一步完善公司治理结构,在这一过程中,出现了诸多的问题。本文从我国引入独立董事制度后所面临的问题出发,探寻了保障独立董事充分发挥其“独立性”的若干措施。
The system of independent directors is a restraining mechanism to ensure the independence of the board of directors and safeguard the common interests of all the shareholders of the company. The introduction of an independent director system in our country mainly aims at changing the efficiency and operation of the board of directors and further improving the corporate governance structure. In this process, many problems have arisen. Based on the problems that our country faced after introducing the independent director system, this article explores some measures to ensure that independent directors give full play to their “independence.”
