(一)要形成一个资产经营一体化并具有投资功能的核心层。企业集团的内部结构可分为核心层、紧密层、半紧密层、松散层四个不同层次,一般称之为集团公司。“集团公司”包含两层含义。第一层含义是“公司”,它是集团的核心和主体部分。凡具有行业性的企业集团的“公司”,都是由若干个实力相当的相关企业“倒旗联合”而成。即这若干个企业实行资产经营一体化和人财物产供销“六统一”,其合并前的成员企业法人地位随之消失,
(1) It is necessary to form a core layer with asset management integration and investment functions. The internal structure of an enterprise group can be divided into four different levels: the core layer, the tight layer, the semi-intense layer, and the loose layer, which are generally called group companies. “Group company” contains two layers of meaning. The first level means “company”, which is the core and main part of the group. All “corporate companies” with industry-based enterprise groups are all made up of a number of related companies with similar strengths. In other words, these several enterprises have implemented the “six unifications” of asset management integration and the supply and sales of human assets, property, and the disappearance of their status as legal persons before the merger.
