中国的“集团公司”既不是具有产权集中特点的公司,又跟英国式的由母公司控股子公司的集团公司或日本式的松散联合的企业集团不一样。在中国,大型组织通常采取多级化的形式,靠把产权切块,每一级给一份产权实行“分封”的办法来维系。集团公司采取所谓“多级法人制”违反了现代民法的一些基本理念:所谓“法人”是指具有和自然人相同的民事能力和民事责任的团体;而
China's “group companies” are neither companies that have the characteristics of property rights, but also British-style group companies controlled by their parent companies or Japanese-style loosely-integrated conglomerates.
