一、股份制改造的难点剖析 我国股份制改革面临着一系列的问题。而其中比较严重的问题包括: 1、政府职能尚不能实现真正转变。推行股份制的初衷之一是实现所有权与经营权的真正分离。但在许多股份制企业中,董事会的主要成员一般都是企业主管部门,财政部门或国有资产管理部门任命的。这种董事会领导下的经理负责制同单一的国有企业实行的厂长负责制没有本质区别。国家与企业关系仍是政企合一。事实证明,从人们对股份制功能的理解与现实运行的分析,其核心在于通过股份制达到解决企业外部组织结构与组织形式
