自股权分置改革结束后,如何对全流通环境下的上市公司管理层实行股权激励,把原来以国有资产保值增值为中心的考核目标转化为全流通环境下公司价值最大化,并进而总结制定出针对公司管理层绩效考评的有效股权激励政策,已成为企业管理的一个全新战略重点。笔者试从人力资源会计角度通过运用全面绩效考核法这种综合考评法来量化人力资本的贡献率,然后将所得到的考评结果与股票期权的执行价格相联系,为企业设计一个合理的行权价格,使采用股权激励制度的公司更好的把人力资本的收益分配建立在公司长期发展的基础之上。
