鉴于我国民营企业个人财产权和法人财产权分离不彻底,法人财产权仍深受家族所有权的干扰和控制,阻碍产权流动,影响现代企业制度建立的实际。文章从企业产权清晰、产权结构合理化以及实现产权流动三个角度入手,研究个人财产权和法人财产权彻底分离、企业吸收新股东的具体方式,以及外部产权交易市场和资本市场的健全等具体的产权制度创新措施,以引导民营企业建立真正意义上的公司产权制度,提高企业信用,优化资源配置,促进民营企业持续健康发展。
In view of the incomplete separation of personal property rights and corporate property rights of private enterprises in China, property rights of legal persons are still deeply interfered with and controlled by family ownership, hindering the flow of property rights and affecting the establishment of modern enterprise systems. The article starts from the three perspectives of clear corporate property rights, rationalization of property rights structure, and the realization of property rights flow. It studies the complete separation of personal property rights and corporate property rights, the specific ways in which companies absorb new shareholders, and the specific property rights system such as the improvement of external property rights trading market and capital market. Innovative measures to guide private enterprises to establish a real company property rights system, improve corporate credit, optimize resource allocation, and promote the sustainable and healthy development of private enterprises.
