在我国上市公司的董事会中引入独立董事,发挥独立董事的制衡和监督作用,对健全董事会功能,完善公司法人治理结构,确保董事会考虑所有股东的利益,减少内部人控制和大股东操纵,使中小股东的利益得到有效保护,具有重要的现实意义。引进独立董事制度,不应将其作为引进的目的本身,而应作为完善公司治理结构的一个具体手段或辅助措施,从而引发对完善公司监督机制的关注和尝试。这将会促进我国公司治理结构沿着良性轨道发展,也是构建和谐社会主义社会的现实需要。
