公司监事会制度是公司法人机关权力制衡机制的重要组成部分 ,是维护公司健康、稳定发展的保证。然而 ,在现实经济生活中 ,监事会形同虚设 ,未能发挥其价值功效。究其原因 ,监事会监督权行使不力是关键所在。本文从探讨现代公司监事会职权设置的必要性入手 ,详细分析了现行公司立法关于监事会监督权存在的漏洞 ,即监事会缺乏独立性和监督权限偏小且缺乏可操作性 ,并针对这些漏洞提出了完善公司监事会监督权的构想
