杜宇与王玉是同事关系。1993年5月4日,杜宇与王玉协商,口头约定由杜宇出资委托王玉代为炒股票,盈利后王玉按30%提取盈余部分。此时,王玉共为二人代理炒股票。5月7日,王玉代杜宇等二人购入上海金陵股票4600股,每股22.40元。王玉于事后告知杜宇,杜宇分得其中2800股,共花股金62720元,手续费567.10元,杜宇于5月末至8月中旬离开本市出差。6月10日,因杜宇出差未归,为使杜宇利益不受损害,王玉为杜宇所有的2800股金陵股票垫资6860元配股1960股,至此,杜宇持有金陵股票4760股。1993年8月中旬,杜宇出差归来,王玉将为其垫资配股等情况告诉杜宇。9月14日,杜宇将王玉为其垫付的配股资金还给王玉,并要求王玉出具欠其金陵股票4760股
