全民所有制企业改组为股份制企业后遇到的一个突出的问题就是职工代表大会与股东大会的关系问题。依据《全民所有制工业企业职工代表大会条例》和《中华人民共和国全民所有制工业企业法》的规定,职工代表大会应行使职工民主管理企业的权力,而作为股份制企业、国家的法律、法规和规章,特别是国家体改委发布的《股份有限公司规范意见》和《有限责任公司规范意见》规定了股东大会是企业的权力机构,代表全体股东行使管理企业的权力。作为两种权力机构,究竟应当由谁来行使民主管理的权力,还是二者兼而有之呢?
A prominent problem encountered after the reorganization of a state-owned enterprise into a joint-stock enterprise was the issue of the relationship between the employee representative assembly and the general meeting of shareholders. According to the Regulations of the Employee Representative Assembly of All Ownership-Owned Industrial Enterprises and the Law of the People’s Republic of China on Ownership-Based Industrial Enterprises, the employee representative assembly shall exercise the power of democratic management of employees, and shall be used as a joint-stock enterprise, national laws, regulations and rules, In particular, the “Standardization Opinions of Co., Ltd.” and the “Specifications of Limited Liability Companies Opinions” promulgated by the National Restructuring Commission stipulate that the general meeting of shareholders is the authority of the company and represents the power of all the shareholders to manage the enterprise. As two kinds of power organizations, who should exercise the power of democratic management, or both?
