明确债权转股权定义《办法》第二条规定,本办法所称债权转股权,是指债权人以其依法享有的对在中国境内设立的有限责任公司或者股份有限公司(以下统称公司)的债权,转为公司股权,增加公司注册资本的行为。点评:明确债权出资之可行性,以有效减轻企业债务负担,化解资金困难。2011年11月23日,国家工商行政管理总局审议通过了《公司债权转股权登记管理办法》(以下简称《办法》),自2012年1月1日起施行。
Clarifying the Definition of Obligation to Transfer Equity According to Article 2 of the Measures, the conversion of obligee’s right into equity refers to the obligees’ right of creditors to enjoy the rights and obligations of limited liability companies or joint stock limited companies (hereinafter collectively referred to as the Company) established in China, Turn into the company’s equity, increase the company’s registered capital.
