如何积极稳妥地推进国有企业的公司制改造? 公司制是市场经济国家中大中型企业普遍采取的企业组织形式。公司形式主要有有限责任公司和股份有限公司两种。有限责任公司只涉及到资产的评估和产权的确定,而股份有限公司则需要向社会定向或公开发行股票,并发展与此配套的股票流通市场。从1987年党的十三大政治报告正式提出进行股份制改造试点以来,全国的公司制改革取得了相当大的进展。从实际情况看,当前需要在总结经验的基础上,积极地推行公司制的改革试点,并在国有大中型企业进行公司制改造的同时,尽可能提高其法律化和规范化的程度。具体来说,应当突出做好以下几方面的工作:
How to actively and steadily promote the reform of the corporate system of state-owned enterprises? Corporate system is a common form of enterprise organization adopted by large and medium-sized enterprises in market economy countries. There are two main types of companies: limited liability companies and limited liability companies. The limited liability company only involves the assessment of assets and the determination of property rights. However, the limited liability companies need to issue stocks to the public in a targeted or public way and to develop the stock circulation market. Since the party’s 13 major political reports formally proposed the pilot reform of the shareholding system in 1987, considerable progress has been made in the reform of the corporate system throughout the country. From a practical point of view, it is currently necessary to actively implement the pilot reform of the company system based on the summing-up of experience and at the same time maximize the degree of legalization and standardization of state-owned large and medium-sized enterprises as they reform the company system.
