企业并购是企业从资产经营向资本经营转化的重要扩张手段,其目标是为了发挥协同效应,获得规模经济的收益。实现企业价值最大化的目标,促进企业的发展。要使并购后的企业能真正实现1+1>2的效果,必须使并购后的企业成为一个全新的整体有效地运行,这就需要对并购企业进行整合。这种整合是指为了实现企业并购的战略目标,采取有效的管理手段和策略,对并购双方的“硬件”和“软件”进行重新调整、规划和配置。即企业并购中的整合,不仅要有资金、设备、技术等有形资产的整合,也要包括企业文化这项无形资产的整合及创新。
