近日,中国证监会发布了《关于规范上市公司重大购买或出售资产行为的通知》,对上市公司资产重组行为提出了新的规范措施,以支持上市公司通过重组提高资产质量,维护投资者的合法权益。资产重组是指通过对社会资源的整合和重新配置,以提高资源的使用效率。作为促进社会生产力发展的有效手段,在世界各国的经济发展史上,都曾发挥过巨大的推动作用,直至今日,世界各国内部甚至跨国跨地区的企业、产业间的购并重组风起云涌,而证券市场正是实施和实现这一过程的最佳场所。
