MBO(管理层收购)相当敏感,以至于被访对象纷纷拒绝与逃避话题;MBO备受争议,以至于各级主管部门、企业管理层、企业员工、市场投资者各有各的说法,褒贬不一;MBO又非常有吸引力,以至于许多公司前赴后继,不惜绞尽脑汁实行“曲线MBO”。围绕MBO的种种故事、种种悲喜、种种争拗,我们以为皆因缺乏了一套公开、公平、公正而又相对完善的游戏规则。中国有句古话,“无规矩不能成方圆”。我们盼望有关部门早定规则,还MBO应有的功能和价值,而不是因噎废食,叫停MBO。我们期盼阳光下的MBO,更期盼MBO为国有企业改革带来希望的阳光。
MBO (Management Buy-Out) is so sensitive that respondents have rejected and eschewed the topic; MBO is so controversial that authorities at all levels, business executives, corporate employees, and market investors each have their own different opinions MBO is very attractive, so many companies go forward, spared no effort in implementing “Curve MBO.” Around the MBO story, all kinds of joys and sorrows, all kinds of arguments, we think because of the lack of a set of open, fair, just and relatively complete rules of the game. There is an old saying in China that “no rules can not be a radius ”. We hope that the relevant departments set an early rule, but also MBO should have the function and value, rather than desperation, stop MBO. We look forward to the MBO under the sun and look forward to the sunshine MBO hopes for the reform of state-owned enterprises.
