公司由来已久,它是最普遍使用的概念,是社会经济活动最主要的主体,也是最重要的企业形式。近年来,随着我国公司制企业的发展,出现了一种特殊的公司制形式——一人公司,一人公司已被越来越多的国家立法所承认。然而,如同一枚硬币有正反两个方面一样,万事有利亦有弊,一人公司的出现同样既具有重要的积极意义,也不可避免地存在着消极的方面,一人公司是一把双刃剑。只有看到和正确对待一人公司的利弊,才能更好地完善一人公司的立法。
