所谓合资是中外合资经营的简称。中外合资经营企业是指外国公司、企业和其他经济组织或个人,与我国的公司、企业或其他经济组织,按照中国的法律,经我国政府批准,在我国境内设立,以合资方式组成的有限责任公司。由双方共同投资、共同经营、共担风险、共负盈亏。一般说来,外方提供资金或技术、主要设备、材料等,中方提供可利用的房屋、设备、设施、土地、自然资源、劳动力等。人们常说的合资亦包含有与港澳台企业、经济组织及个人的合资。在目前成立的有限责任公司的名称中,有的将责任二字省略了。某某有限公司,一般是指有限责任公司。 在我国改革开放伊始,兴办中外合资企业就开始形成热潮,现在基本上是实现了“普及”。港口企业虽不如其他企业发展得快速,但也已不是什么新鲜事。拿南京港来说,早在1987年12月就与美国英塞纳码头公司合资成立了全国港口首家中外合资企业——南京国际集装箱装卸有限公司;1993年6月与美国纽士威国际有限公司合资成立了南京港威房地产开发有限公司;1994年5月与香港国际科技服务公司合资成立了南京依斯特文具有限公司;最近,他们又与香港惠扬发展公司合资成立了南京惠宁码头有限公司、与台湾斯美集团石尊有限公司合资成立了南京光正实业开发有限公司,还有些项目正在积极洽?
The so-called joint venture is short for Sino-foreign joint venture. Chinese-foreign equity joint ventures refer to the limited liability of foreign companies, enterprises and other economic organizations or individuals with Chinese companies, enterprises or other economic organizations that are established in China under the laws of the PRC with the approval of the government of our country and formed by way of joint ventures the company. Both parties jointly invest and manage together to share the risks and make a total profit and loss. At the beginning of China’s reform and opening up, the establishment of Sino-foreign joint ventures began to form an upsurge. Now it is basically “universalization.” Although port enterprises are not as fast as other companies, they are nothing new. Take Nanjing Port, as early as December 1987 with the United States on the British Senna Wharf joint venture company set up the country’s first joint-venture Sino-foreign joint ventures in Nanjing International Container Handling Co., Ltd. in 1993 June and the United States New Zealand Granville International Limited Nanjing Real Estate Development Co., Ltd. was set up as a joint venture; Nanjing Eaststar Stationery Co., Ltd. was set up as a joint venture with Hong Kong International Technology Service Co., Ltd. in May 1994; and recently, they also jointly established Nanjing Weining Terminal Co., Ltd. Company, and Taiwan Si US group Stone Co., Ltd. set up a joint venture Nanjing Guangzheng Industrial Development Co., Ltd., and some projects are actively negotiating?
