资产重组是个历久弥新的话题,也是企业运作永恒的主题。随着对资本市场运作规则、企业经营管理规律及资产重组模式、内容等问题认识水平的进一步提高,人们越来越意识到资产重组对增强企业融资能力、竞争能力的重要作用,也越来越深刻地认识到资产重组是任何真正想做大做强的企业发展壮大的必由之路。受此影响,许多企业都对资产重组表现出了极大的热情,有些企业甚至已经多次进行了资产重组的实践,以资金为王的房地产行业更是不甘落后。据统计,2003年是我国房地产企业发生资产重组行为最多的年份。以证券市场为例,在经营房地产业务的79家上市公司中,有32家企业进行了不同类型的资产重组活动,共占所有房地产上市公司总数的40.51%。2004年初以来,房地产企业场内场外各种资产重组活动进一步增多,随着国家宏观调控政策对房地产信贷、土地供应的紧缩,许多资金实力不足或土地储备不够的房地产企业面临着有钱无地、有地无钱或无钱无地的生存挑战。为了摆脱困境,房地产企业表现出更加高涨的重组热情,这些企业一方面主动加大了对本企业资产层面的调整,另一方面积极寻求着与外界进行合作的各种重组机会。可以预见,在国家宏观调控政策持续强化的情况下,2004年房地产行业的资产重组活动将会更加频繁,房地产行业的竞争格
