一人公司是指股东(自然人或法人)仅为一人,并由该股东持有公司全部出资或所有股份的有限公司。一人公司的出现打破了传统公司法理和规则所要求的安全制度保障。一人公司不得从事有关国计民生的基础性、垄断性、公益性行业或其他重大行业这些行业的生产经营;对于股东为外国人的一人公司的能力范围可根据维护国家经济独立原则做出特别限制。
A one-person company refers to a shareholder (a natural or legal person) with only one person, and the shareholder holds all or part of the shares of the company. The emergence of a one-man company breaks the security system guarantee required by the traditional corporate law and rules. A one-man company may not engage in the production and operation of such industries as basic, monopoly, nonprofit industries or other major industries concerning people’s livelihood and people’s livelihood. The scope of its capabilities for one-man companies with shareholders as foreigners may be subject to special restrictions in accordance with the principle of safeguarding national economic independence.
