本文认为，从一定意义上说，建立现代企业制度就是要实行公司制。现代企业制度最本质的特征，在于公司以其拥有的法人财产承担有限责任。建立现代企业制度只是整个企业制度改革的一个重要组成部分。企业制度改革的任务，是全面着眼于转换企业经营机制。国有企业进行公司化改造，应当使股权多元化，而且要大幅度降低国家直接持股的比例。正确运用法人相互持股的“架空机制”，就可以淡化行政主管部门的直接干预，突出经营者集团的作用。
This article believes that, in a certain sense, the establishment of a modern enterprise system is to implement a company system. The most essential feature of the modern enterprise system is that the company assumes limited liability for its legal property. The establishment of a modern enterprise system is only an important part of the entire enterprise system reform. The task of the reform of the enterprise system is to comprehensively focus on transforming the operating mechanism of the enterprise. The transformation of state-owned enterprises into companies should diversify their shareholdings and significantly reduce the proportion of the country’s direct holdings. The correct use of the “overhead mechanism” in which legal persons hold each other’s shares can dilute the direct intervention of administrative departments and highlight the role of the group of operators.
