2001年8月16日,中国证监会公布了《关于在上市公司建立独立董事制度的指导意见》(以下简称《指导意见》),要求2003年6月30日之前,上市公司董事会成员中应当有1/3以上为独立董事,并赋予独立董事广泛的权利。在既有监事会的我国引入源于英美国家的独立董事制度无疑是一次完善公司治理结构的大胆尝试。因此,在法律和实践中协调独立董事与监事会之间的关系,从制度设计上充分发挥独立董事制度的效用,是构建一套符合中国特色且行之有效的上市公司监督体系的关键。
On August 16, 2001, China Securities Regulatory Commission promulgated the Guiding Opinions on Establishing an Independent Director System in Listed Companies (hereinafter referred to as the Guiding Opinions), requiring that on June 30, 2003, the members of the board of listed companies should have More than one-third are independent directors and give independent directors a wide range of rights. The introduction of the system of independent directors from the Anglo-American countries in our country with an existing board of supervisors is undoubtedly a bold attempt to perfect the corporate governance structure. Therefore, coordinating the relationship between independent directors and the board of supervisors in law and practice, and giving full play to the effectiveness of the system of independent directors in system design are the keys to constructing a set of effective supervisory system of listed companies in line with Chinese characteristics.
