默示条款是古老的,从19世纪末诞生至今,其发展已历经百年。作为英美法系极具特色的一项,默示条款在法律解释上发挥着巨大的作用,并使得自由与正义,公平与效率得到了微妙的平衡。其灵活而具有可操作性,对完善我国合同解释理论有借鉴作用。本文从英美法系的有关立法、案例上对默示条款的发展、价值和效力进行阐述,试图证明默示条款现今仍具很强生命力。
Implied terms are ancient, from the birth of the late 19th century, its development has gone through centuries. As a distinctive feature of the Anglo-American law system, the implied terms play a huge role in the interpretation of laws and make a delicate balance between freedom and justice, fairness and efficiency. Its flexibility and operability, to improve China’s contract interpretation theory has reference. This article elaborates the development, value and effectiveness of the implied terms from the relevant legislation and cases in Anglo-American legal system, trying to prove that the implied terms still have strong vitality.
