公司和有限合伙企业是风险投资企业的两种主要形式,其组织结构和激约机制的差异导致了对风险投资的不同作用。我国应探索建立有限合伙企业制度,并对公司制度做相应完善,建立具有我国特色的风险投资企业治理机制。
Companies and limited partnerships are the two main forms of venture capital firms. The differences between their organizational structure and the stimulus mechanism lead to different roles in venture capital. China should explore the establishment of a limited partnership system and improve the corporate system accordingly, and establish a governance mechanism for venture capital enterprises with Chinese characteristics.
