作为部分纵向整合的一种形式,排除交易既有提升竞争的正面功能,也有排斥市场竞争者与潜在对手的消极影响。美国反垄断司法实践表明,从经济效率的角度,对排除交易应当适用合理原则,进行经济分析,权衡利弊得失。多数情况下,排除交易是一种合法有效的经济行为。只有具有市场支配地位的企业,滥用市场力量,实质性地抑制或消除交易相对人与竞争对手的交易机会,才应受到反垄断法的制裁。
As a form of partial vertical integration, excluding transactions has both the positive function of enhancing competition and the negative impact of excluding market competitors from potential competitors. The antitrust judicial practice in the United States shows that from an economic efficiency point of view, reasonable principles should be applied to the exclusion of transactions, economic analysis should be conducted to weigh the pros and cons. In most cases, excluding the transaction is a legal and valid economic behavior. Only an enterprise with market dominance, abuse of market power, and substantive suppression or elimination of trading opportunities between counterparties and competitors should be subject to the anti-monopoly law.
