股份公司是现代企业最重要的组织形式之一，而股份公司设立的条件又是股份公司得以成立及存续的前提。正因为这一问题的重要意义，各国公司法都无一例外地对股份公司的设立条件进行了规范。本文拟在比较法的基础上探讨各国股份公司设立条件的差异，并就此研究我国公司法中股份公司设立条件的相关规定及意义
Joint-stock company is one of the most important organizational forms of modern enterprise, and the conditions for the establishment of joint-stock company are the prerequisites for the establishment and existence of joint-stock company. Precisely because of the significance of this issue, all state company laws regulate the establishment conditions of joint-stock companies without exception. This article intends to explore the differences in the conditions for the establishment of state-owned joint-stock companies on the basis of comparative law and to study the relevant provisions and significance of the conditions for the establishment of joint-stock companies in the Company Law of the People’s Republic of China
