为了加强我国资产评估行业的管理,根据国家有关规定,对外国资产评估机构(以下简称外国机构)在中华人民共和国境内临时执行资产评估(含咨询性评估,下同)业务作如下规定: 一、凡来中国境内执行资产评估业务的外国机构,必须持有国家国有资产管理局统一印发的《中华人民共和国境内临时执行资产评估业务许可证》(以下简称《许可证》);必须遵守中国法律、法规,接受中国资产评估协会的监督与管理。 二、申请《许可证》须具备的条件: (一)具有所在国家(地区)法人资格或有关当局出具的开业合法证书,具有一定的规模和业绩,在本国(地区)信誉较高;(二)具有相当数量的能够评估企业资产的资产评估专业资格的人员;(三)在中国境内有合法的常驻代表机构;(四)国家国有资产管理局规定的其他条件。 三、申请《许可证》须提交的文件: (一)申请书、法人资格证明或开业合法证书证明副本(复印件)、法定代表人和合伙人证明(原件或复印件)、资信证明;(二)来华执行资产评估业务人员备案名单及其合法身份的有效证明(复印件)和能够证明具有资产评估专业资格的证明(复印件);(三)评估机构主要业绩及来华执行资产评估业务备案人员签署过的外国企业资产评估报告(案
In order to strengthen the management of China’s asset valuation industry, according to the relevant provisions of the State, the following provisions shall be made on the business of temporary execution of assets appraisal (including advisory assessment, the same below) within the territory of the People’s Republic of China by foreign asset appraisal institutions (hereinafter referred to as foreign institutions) Any foreign institution that conducts the asset valuation business in China must hold the “Permit for Execution of Assets Appraisal Business Provisional in the People’s Republic of China” (hereinafter referred to as the “Permit”) uniformly issued by the State-owned Assets Supervision and Administration Commission of the State Council; it must abide by Chinese laws, Regulations, accept the supervision and management of China Association of Asset Valuation. Second, apply for the “permit” must have the following conditions: (a) with the country (region) legal capacity or the relevant authorities issued by the legal certificate of opening, with a certain scale and performance, higher credibility in the country (region); (two) (3) Persons who have a considerable number of assets appraisal professional qualifications to evaluate the assets of the enterprise; (3) Legal resident representative offices in China; (4) Other conditions prescribed by the State-owned Assets Supervision and Administration Commission.
