本文在剖析“国退民进”改制与委托代理关系调整的基础上 ,分析了“国退民进”后 ,企业相关委托代理关系仍然存在着体制性缺陷和自然性缺陷等障碍 ,并进一步提出了解决问题的对策建议。对于体制性缺陷 ,一是完善市场机制 ,健全公平竞争的市场环境 ,为解决企业委托代理问题提供外部保证 ;二是改革社会的索求职能、政府的监管职能 ,为企业提供必要的咨询服务。对于自然性缺陷 ,一是建立科学的公司治理机制 ,关注利益相关者的共赢 ;二是引入以员工持股与股票期权计划为主要形式的股权激励机制 ;三是深化“三项制度”改革 ,实施内部机制创新战略 ,形成既有外部压力又有内在动力的企业经营机制。
