经省政府领导同志同意,现将《国务院办公厅转发国家体改委等部门关于立即制止发行内部职工股不规范做法意见的紧急通知》(国办发[1993]22号)转发给你们,并结合我省实际情况,提出以下要求,请一并认真遵照执行。一、只有经省体改委审批后成立的股份有限公司,才能发行内部职工股。有限责任公司不得发行内部职工股。二、各地、各企业主管部门和各试点企业要对发行内部职工股情况进行一次清理,对个别定向募集公司超比例、超范围发行内部职工股的做法,要采取稳妥措施予以纠正。内部职工股的发行比例不得超过股本总额的20%。

A limited liability company may not issue internal employee shares. 2. All localities and enterprises and the pilot enterprises should conduct a clean-up on the issue of the internal staff shares and raise the percentage of the company in excess of the individual and issue the internal staff shares in excess of the specific limit, and take appropriate measures to rectify the situation. The proportion of internal staff shares issued shall not exceed 20% of the total share capital.
