20世纪90年代以来,随着经济的日益全球化、机构投资者对公司治理参与的加深以及亚洲金融危机的爆发,公司治理越来越受到世界各国的重视,进而形成了一个公司治理的全球化浪潮。随着中国加入WTO,企业家们认识到公司治理不仅是大企业的事情,任何企业要想在激烈的竞争中生存就必须考虑公司治理的问题。本文首先对国际上三种主要的公司治理模式进行了比较,然后指出了我国企业公司治理方面存在的问题并进行了分析,最后在借鉴国外成功经验并结合国企实际的基础上提出了我国企业公司治理结构的一些构想。
Since the 1990s, with the increasingly global economy, deepening participation of institutional investors in corporate governance and the outbreak of the Asian financial crisis, corporate governance has drawn more and more attention from all over the world and has led to the globalization of corporate governance wave. With China’s accession to the WTO, entrepreneurs realize that corporate governance is not only a big business, but any enterprise that wants to survive in the fierce competition must consider the issue of corporate governance. This paper first compares the three main models of corporate governance in the world, then points out the problems in the corporate governance of Chinese enterprises and analyzes them.
