本文探讨了西方传媒公司的治理问题。作者从公司治理的理论基础开始,介绍了代理理论学派与公司治理学派,并以此为基础讨论传媒公司的治理架构。随着公开上市的传媒公司的崛起,作者也重点讨论了传媒上市公司的治理原则,提出了西方传媒公司治理中存在的主要问题,为今后的研究设定了方向。
This article explores the governance of Western media companies. Starting from the theoretical foundation of corporate governance, the author introduces the school of proxy theory and the school of corporate governance, and based on this, discusses the governance structure of media companies. With the rise of public listed media companies, the author also focuses on the governance principles of listed media companies, puts forward the main problems in the management of western media companies and sets the direction for future research.
